TERMS
& POLICIES
Payment
Subject to the approval of the Seller’s Credit Department,
terms of payment shall be net cash 10 days from the date of invoice.
Balances outstanding after 30 days will be charged 2% per month
(24% per annum). If collection action on overdue accounts becomes
necessary, all costs, including all reasonable attorney’s
fees and legal/court fees, will be paid by the buyer.
Prices
All prices are subject to change without notice and are subject
to Seller’s prices at time of shipment. Prices quoted are
in U.S. Dollars. On shipment to Canada, any applicable duty and
customs entry charges are the responsibility of the buyer. All special
quote/sale prices remaining unpaid after thirty (30) days from the
date of invoice will revert to regular published prices.
Fuel Surcharge
Our traffic manager and team members do a tremendous job negotiating
with freight carriers for the best possible price, service and value.
It is from their hard work we are able to provide the most liberal
and service sensitive freight policy in our field. It is published,
and in many cases, adhered to for long periods of time. However,
during these periods of time it has become increasingly popular
for the carriers to implement a fuel surcharge whenever there is
movement in the price of diesel. These additional charges can be
significant, and for this reason, we reserve the right to charge
upwards of 2%, without notice, of invoice value on all prepaid shipments.
Minimum Charge
Minimum order is $100.00 net. On orders less than the minimum there
will be a $20.00 service fee.
Back Orders
Freight will not be allowed on back orders unless they constitute
a prepaid shipment in themselves. All means of transportation and
routing shall be subject to the control of the seller.
Returns
Wallingford’s Inc.® will not accept any returned goods
unless authorized in advance and accompanied by a signed and numbered
Returned Goods Authorization Form. Unauthorized shipments will be
returned at the sender’s expense. Authorization must be obtained
from the Customer Service Department in Oakland, ME. All authorized
goods must be sent prepaid and are subject to a 20% restocking charge.
Whereas BABAC® and Aquiline® can manufacture a wide range
of tire chains, only the most popular sizes/styles are returnable.
Claims & Shortages
Wallingford’s Inc. is willing to assist you in collecting
claims for loss or damage, however, we are not responsible for collection
of claims or replacement of merchandise. All requests for assistance
must be accompanied by a copy of the freight bill showing the shortage
or damage and signed by the trucker. Always check the Packing List
against the shipment prior to signing the Bill of Lading. Do not
sign the Bill of Lading before confirming that all goods shipped
were received. Never sign the bill of lading for piece count, carton
count or pallet count. It is the Buyer's responsibility to validate
the shipment against the Packing List. If a shipment has been signed
and cleared without first being checked against the Packing List,
there is little or nothing the Seller can do in the event of a claim.

Warranty
Products in this catalog are warranted to be free of defects in
workmanship and materials used for a period of ninety (90) days
unless otherwise noted. BABAC®, Inc. warrants BABAC tire chains
against defects in material and workmanship for a period of two
(2) years from the date of purchase. No other warranty, expressed
or implied, including warranty of merchantability and fitness for
a specific application, is given and no such claim of the Seller,
by words, actions or other deeds shall constitute a warranty. The
Seller shall not pay any claim for any of these products against
labor, delays or damages by reason of their use. Return of merchandise
without written permission of the seller is prohibited. No obligation
or liability arising from tort shall be incurred by the Seller,
and the Buyer shall indemnify the Seller against all claims, suits,
damages or liabilities arising therefrom.
The sole remedy of Buyers for breach of any expressed or implied
warranty, including those of merchantability and fitness for a particular
application, is exclusively limited to acquiring at the Seller’s
discretion, the repair or replacement of products sold hereunder
and manufactured by Seller when returned, transportation prepaid
to Seller’s plant within ten (10) days of alleged defects.
Seller shall in no event be liable for incidental or consequential
damage of any kind.
Freight Policy
F.O.B. Shipping point. Freight allowed and prepaid at
lowest published tariff rate on stock orders at published prices
for the following shipments:
Region One
1000 lbs. or $1500.00, whichever is less
United States: New England, NY
Region Two
1500 lbs. or $2500.00, whichever is less
United States: PA, NJ
Region Three
2000 lbs. or $3000.00, whichever is less
Canada: PQ, ON, NB, NS
United States: DE, MD, OH, VA, WV, IN, IL, KY, NC, TN, AL, AR, FL,
GA, IA, KS, LA, MI, MN, MO, MS, NE, ND, OK, SC, SD, TX, WI
Region Four
5000 lbs. or $5000.00, whichever is less
Canada: BC, AB, SK, MB
United States: AZ, CA, CO, ID, MT, NM, NV, OR, WA, WY, UT
OUTSIDE OF NORTH AMERICA: We can offer pricing
EXWORKS our warehouse, DDU named location or CIF named port. North
American freight policy would apply for delivery to your forwarder
located within the named regions.
